Parties

This Agreement is between Clickr ("we," "us," or "our") and you ("you" or "your") as the subscriber to our service.

1. Subscription and Fees

1.1 Subscription Plan

You agree to subscribe to Clickr's service, which provides API access for integration with QuickBooks Online.

1.2 Fees

The subscription fee is $80 USD per month unless otherwise agreed in writing.

1.3 Billing

After the free trial period (if applicable), you will be charged the subscription fee on a recurring monthly basis until you cancel.

1.4 Cancellation

You may cancel your subscription at any time by providing written notice via our designated support channel. Subscription fees are non-refundable.

2. Your Responsibilities

2.1 Authorization and Authentication

You must provide accurate information, including a username and password, to enable us to perform actions on your behalf.

2.2 QuickBooks Online Account Linkage

We will provide you with a unique phone number that must be linked to your QuickBooks Online account.

2.3 Unlinking Upon Cancellation

If you request cancellation of your subscription, you are responsible for unlinking the provided phone number from your QuickBooks Online account before the cancellation is finalized. Failure to unlink the phone number may result in you losing access to the phone number, which could prevent you from logging into your QuickBooks Online account.

2.4 Reporting Issues

If you encounter any issues, you agree to report them through our official support request process so we can assist you promptly.

3. Service Level Agreement (SLA)

3.1 Support Coverage

We provide support only for issues directly related to our software.

3.2 Response Time

We will make reasonable efforts to respond to your support requests promptly. However, response times may vary based on the severity and complexity of the issue.

3.3 Service Interruptions

Due to our software integrating with QuickBooks Online, there may occasionally be interruptions caused by changes or outages in QuickBooks Online. We will address such issues as quickly as possible, but we cannot guarantee uninterrupted service.

4. Liability and Indemnity

4.1 No Warranties

Our service is provided "as is" and "as available." We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

4.2 Limitation of Liability

To the fullest extent permitted by law, our liability for any claim related to this Agreement will be limited to the amount you paid in the last three (3) months.

4.3 Indemnity

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from your use of the service.

5. Terms and Termination

5.1 Term

This Agreement starts when you sign up and continues until you or we terminate it.

5.2 Termination for Breach

We reserve the right to terminate your subscription if you violate this Agreement.

6. Miscellaneous

6.1 Governing Law

This Agreement is governed by the laws of the State of New South Wales, Australia. Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of New South Wales.

6.2 Changes to the Agreement

We may update this Agreement at any time. We will notify you of changes, and your continued use of the service means you accept the updated terms.

6.3 Entire Agreement

This Agreement is the entire understanding between you and Clickr and supersedes all prior agreements.

Acknowledgment and Acceptance

By checking the box during signup, you confirm that:

  • You have read, understood, and agree to the terms of this Agreement.
  • You understand that you will be charged $80 USD per month after the free trial period unless you cancel your subscription.
  • You agree to fulfill your responsibilities under this Agreement, including unlinking the provided phone number from your QuickBooks Online account upon cancellation.

By proceeding with your subscription, you agree to be bound by this Agreement.
